By installing, accessing, or using Counsltrac (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are installing the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not install or use the Service.
Counsltrac is a Slack-native application that helps in-house legal teams track and manage legal matters within Slack. The Service is provided by Counsltrac LLC, a Wyoming limited liability company (“Counsltrac,” “we,” “us”).
Counsltrac is currently offered as a limited beta to a select group of organizations invited to test the Service (“Beta Testers”). If you are using the Service as a Beta Tester, the following additional terms apply:
The Service is installed into a Slack workspace via Slack’s standard OAuth authorization flow. You are responsible for ensuring that anyone who installs the Service on your organization’s behalf is authorized to do so, and for the actions of all users within your workspace who interact with the Service.
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to the Service, other workspaces’ data, or Counsltrac’s underlying infrastructure; interfere with or disrupt the Service; or use the Service to store or transmit content that infringes the rights of others.
Our collection, use, and handling of data through the Service is governed by our Privacy Policy and, where applicable, our Data Processing Agreement, both incorporated into these Terms by reference. As between you and Counsltrac, you retain all rights to the data you submit to the Service (“Customer Data”). You grant Counsltrac a limited license to process Customer Data solely to provide the Service to you.
Counsltrac retains all right, title, and interest in and to the Service, including its software, design, trademarks, and any improvements or modifications, whether developed independently or informed by your feedback. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you in Counsltrac’s intellectual property.
Each party may receive non-public information about the other party in connection with the Service (“Confidential Information”). Each party agrees to use the other’s Confidential Information solely to perform its obligations under these Terms, and not to disclose it to third parties without the other party’s consent, except as required by law. This section does not apply to information that is or becomes publicly available through no fault of the receiving party, and survives termination of these Terms. Customer Data itself is separately governed by the Privacy Policy and Data Processing Agreement, not this section.
New workspaces receive a trial period as described at installation. Continued use of the Service beyond the trial period may require a paid subscription under a plan communicated to you at the time. Fees, if applicable, are described separately and are non-refundable except as required by law or as we otherwise agree in writing.
You agree to indemnify and hold Counsltrac harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.
We may suspend your access to the Service immediately, without notice, if we reasonably believe your use poses a security risk, violates these Terms, or involves suspected abuse. These Terms remain in effect for as long as you use the Service. You may terminate by uninstalling the Service from your Slack workspace at any time. We may otherwise terminate your access for cause or on reasonable notice. Upon termination, your data will be handled as described in our Privacy Policy.
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice (such as by email or an in-product notice). Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.
